Bending Spoons Files for U.S. IPO, Targets Valuation Above $20 Billion

Italian technology company Bending Spoons, known for acquiring and revitalizing legacy digital platforms such as AOL, Evernote, Vimeo, and WeTransfer, has officially filed for an initial public offering (IPO) in the United States.

According to reporting by Fortune, the Milan-based company submitted its IPO filing on June 8, providing investors with the first detailed look at the financial engine behind one of Europe’s most aggressive technology acquisition strategies.

Founded in 2013, Bending Spoons has built a unique reputation by purchasing established but underperforming digital businesses and restructuring them for long-term growth. Its portfolio now includes some of the internet’s most recognizable brands, including Evernote, WeTransfer, Vimeo, Meetup, Eventbrite, and AOL.

The company is reportedly seeking a valuation of at least $20 billion, nearly doubling its valuation from late 2025. The IPO is expected to list on Nasdaq under the ticker symbol BSP. Goldman Sachs, JPMorgan, and Allen & Company are serving as lead underwriters.

Bending Spoons reported strong financial growth ahead of the offering. For the first quarter of 2026, the company generated $601 million in revenue and recorded net income of $27.5 million, a significant turnaround from the loss reported during the same period a year earlier. Much of its revenue comes from recurring subscription businesses across its software portfolio.

The company’s platforms collectively serve more than 500 million monthly active users and over 9 million paying subscribers worldwide.

In a letter accompanying the IPO prospectus, CEO Luca Ferrari emphasized that Bending Spoons sees substantial room for future expansion, noting that the company has identified more than 1,000 digital businesses that could become potential acquisition targets.

The IPO comes at a time when investor appetite for technology listings is returning, with several major companies preparing to enter public markets in what is shaping up to be one of the busiest IPO periods in recent years.
